Envision enhances governance, will destagger board and allow proxy access

After talking with shareholders, the directors of Envision Healthcare say they will craft plans to have investors elect all directors on an annual basis and permit longstanding large investors to nominate their own director candidates.

Along with those initiatives, Envision’s board members have elected former Triad Hospitals CEO Denny Shelton to be their lead independent director. Shelton, who was a senior exec at HCA until 1998, was added to the board of the previous iteration of Envision, which merged with Nashville-based AmSurg 13 months ago, in May 2015.
